Corporation Secretary And Director Legal Services, Job Grade Cue 2
Duties and responsibilities at this level will entail:
- Arranging the business of the Board and keeping records of the proceedings;
- Providing advice on legal and corporate matters to the CUE through interpretation and writing legal opinions;
- Providing secretariat services to the Board;
- Ensuring compliance with statutes, regulations and procedures;
- Formulating legal opinions and reports on various issues affecting the Board;
- Formulating, vetting, reviewing, negotiating contracts, leases, agreements and memorandums of understanding;
- Reviewing the Board’s legal framework and advising on levels of compliance by sector players;
- Coordinating formulating and reviewing the Board’s policies to ensure that they are in line with relevant laws and Government Circulars;
- Coordinating litigation management by liaising with the office of the Attorney;
- Ensuring adequate representation of the Board;
- Ensuring that requisite information and evidence on legal matters involving the Board is complied with and proper instructions issued to the office of Attorney General;
- Negotiating disputes with a view to settling them out of court;
- Coordinating legal audits to measure the Board’s level of compliance with various legal requirements;
- Identifying legal risks and advising on mitigation measures;
- Management and coordination of the Division including coaching and mentorship of Divisional staff;
- Setting of performance targets, work plans, managing, supervising and developing staff for the legal services unit; and
- Representing the Board in legal fora.
Person Specifications
For appointment to this grade, an officer must have: –
- At least twelve (12) years relevant experience, five (5) years of which should
- have been at the level of senior management in a comparable institution;
- Bachelors of Laws (LL. B) degree from a recognized institution;
- Masters degree in Law (LLB) or equivalent qualification from a recognized institution;
- Post graduate Diploma in Law (Advocates Training Programme) from the Kenya School of Law;
- Admission as an Advocate of the High Court of Kenya
- A valid practicing certificate;
- Membership to the Law Society of Kenya (LSK) and the Institute of Certified Public Secretaries of Kenya (ICPS (K);
- Certificate in Leadership Course lasting not less than four (4) weeks from a recognized institution;
- Proficiency in computer applications;
- Demonstrated professional competence and administrative capability as reflected in work performance and results; and
- Fulfilled the provisions of Chapter Six of the Constitution.

- Valid Certificate of Good Conduct from the Directorate of Criminal Investigations (DCI).
- Clearance from the Ethics and Anti-Corruption Commission (EACC).
- Tax Compliance Certificate from Kenya Revenue Authority (KRA).
- Clearance Certificate from the Higher Education Loans Board (HELB).
- Clearance Certificate from an approved Credit Reference Bureau (CRB).
